These Terms of Use (“Terms”) govern access to and use of the website, client portal, online forms, payment functions, communication channels, and related digital services made available by Acumen Genesis (“Acumen Genesis,” “we,” “us,” or “our”).

By accessing or using our website or services, you agree to these Terms. If you do not agree, you must not access or use our website or services.

1. About Acumen Genesis

Acumen Genesis is a professional services firm operating in Singapore. We provide services that may include accounting, bookkeeping, financial reporting support, tax compliance and advisory support, payroll support, company incorporation support, corporate secretarial services, and related business support services. Our website and related systems may allow you to submit enquiries, request quotations, upload documents, onboard as a client, communicate with us, make payments, receive invoices, and manage aspects of an engagement online.

2. Application of these Terms

These Terms apply to each visitor to our website, each prospective client who submits information to us, each client who engages us through our website or related digital systems, and each person who accesses our services or systems on behalf of a business or other entity.

These Terms apply together with any engagement letter, service agreement, proposal, fee schedule, privacy policy, data protection notice, or other service-specific terms we provide. In the event of inconsistency, the signed engagement letter or service agreement will prevail, followed by any service-specific terms, and then these Terms.

3. Eligibility and Authority

By using our website or services, you represent and warrant that you are at least 18 years old, have capacity to enter into a binding agreement, and, if acting for a company or other entity, have authority to bind that entity. You further represent and warrant that all information you provide is accurate, complete, and not misleading, and that your use of our website and services complies with applicable law.

Where you act on behalf of an entity, references to “you” include that entity.

4. No Engagement Created by Website Use

Use of our website, submission of an enquiry, request for information, or provision of preliminary documents does not by itself create a professional engagement with Acumen Genesis. An engagement arises only when we accept instructions in writing, issue an engagement letter or equivalent written confirmation, or otherwise confirm that we are acting for you.

Content on our website is provided for general information only. It does not constitute legal, tax, accounting, regulatory, investment, or other professional advice and must not be relied on as advice for any specific matter.

5. Scope of Services

The scope of any services provided by Acumen Genesis is limited to the services expressly agreed in writing. Unless expressly stated otherwise, our services do not include audit, assurance, legal representation, investment advice, insolvency services, or any regulated activity requiring a separate licence, appointment, or written mandate.

Corporate secretarial, compliance, and administrative support services do not constitute legal advice. Where legal advice is required, you are responsible for obtaining it from qualified legal counsel.

6. Your Obligations

You must provide complete, accurate, current, and timely information, records, documents, and instructions necessary for us to perform the services. You are responsible for ensuring that anything provided to us is not false, misleading, incomplete, unlawful, or infringing of third-party rights. You must promptly notify us of any change to your business, ownership, directors, shareholders, officers, registered address, tax status, residency, accounting records, or regulatory position that may affect the services.

You remain responsible for reviewing documents, filings, computations, resolutions, financial information, and submissions prepared by us before approval or filing where your review is reasonably required. You are also responsible for maintaining proper books, records, supporting documents, and internal controls, and for keeping backups of all materials provided to us or received from us.

If you authorise employees, officers, agents, contractors, or other representatives to deal with us on your behalf, you are responsible for their acts, omissions, instructions, approvals, and access.

7. Account Access and Security

If we provide access to a client portal, account, shared workspace, or restricted digital area, you must keep login credentials secure and confidential and ensure that access is granted only to appropriately authorised persons. You must notify us promptly of any actual or suspected unauthorised access, misuse, or compromise.

We may rely on any instruction, approval, upload, confirmation, or communication that appears to come from your registered email address, account, portal access, or authorised representative. You accept responsibility for all activity conducted through your account or access credentials unless and until you notify us of a compromise and we have had a reasonable opportunity to act.

8. Compliance and Verification

Acumen Genesis may require identity documents, corporate records, beneficial ownership information, proof of address, source-of-funds information, and other documents or explanations in order to comply with applicable law, professional obligations, internal risk controls, anti-money laundering requirements, sanctions screening requirements, or client acceptance procedures.

We may refuse to act, decline to onboard, delay work, suspend services, or terminate an engagement if required information is not provided, if we cannot verify identity or authority, if we reasonably suspect fraud, illegality, money laundering, sanctions exposure, deception, or regulatory risk, or if continuing to act would expose us to legal, ethical, professional, or reputational risk. We are not liable for loss arising from reasonable or legally required compliance checks, delays, refusals, or suspensions.

9. Fees, Billing, and Payment

Our fees may be charged on a fixed-fee, hourly, retainer, subscription, transaction-based, filing-based, or mixed basis, as stated in the applicable proposal, quotation, engagement letter, invoice, or fee schedule. Unless otherwise stated, fees are in Singapore Dollars and exclude GST, government fees, statutory charges, filing fees, disbursements, software charges, bank charges, payment processing charges, courier charges, and other third-party costs.

Invoices are payable within the period stated on the invoice or, if no period is stated, within seven days from the invoice date. We may require advance payment, a deposit, or a retainer before commencing or continuing work. We may also require reimbursement of disbursements before making filings or payments on your behalf.

Any overdue amount may bear interest at the rate of [Insert Rate]% per month or the maximum rate permitted by law, whichever is lower.

10. Suspension for Non-Payment

If you fail to pay fees or disbursements when due, Acumen Genesis may suspend work, stop acting on pending matters, postpone or decline filings, withhold release of work product to the extent permitted by law and professional rules, revoke portal access, or terminate the engagement.

You remain responsible for all consequences of late payment, including missed deadlines, penalties, late filing fees, rejected submissions, lapse of services, or other resulting loss.

11. Refunds

Unless otherwise agreed in writing, fees for work already performed are non-refundable. Government fees, filing fees, third-party charges, payment processing charges, and disbursements are non-refundable once incurred. Any refund approved in exceptional circumstances will be limited to the amount actually received by us for the unused portion of the relevant service, less amounts already earned or incurred.

12. Electronic Communications and Instructions

You agree that we may communicate with you electronically, including by email, portal notification, digital document exchange, electronic signature platform, website form, messaging system, or other agreed electronic means. You acknowledge that internet communications are not completely secure and may be delayed, intercepted, corrupted, lost, or accessed by unauthorised parties.

You accept the risks of electronic communication and agree that we may rely on communications, documents, approvals, and instructions that reasonably appear to come from you or your authorised representatives. You are responsible for keeping your contact details current and for monitoring your email and portal communications.

13. Acceptable Use

You must not use our website or systems in any unlawful, fraudulent, abusive, defamatory, misleading, or harmful manner. You must not attempt to gain unauthorised access to any part of the website, our systems, or any account. You grant Acumen Genesis a non-exclusive, worldwide, royalty-free licence to use, reproduce, store, adapt, transmit, and otherwise process all documents, data, content, and materials you provide to us to the extent reasonably necessary to provide the services, comply with legal and professional obligations, conduct internal administration, maintain backups, prevent fraud, manage risk, and enforce our rights.

You represent and warrant that you are entitled to provide those materials to us and to authorise their use for those purposes.

16. Third-Party Providers

We may use third-party service providers, platforms, software, cloud storage providers, communication tools, payment processors, electronic signature providers, and filing or workflow systems in connection with our website and services. Your use of certain third-party features may also be subject to additional terms imposed by those providers.

You must not disclose any non-public materials, pricing, methodologies, templates, proposals, internal communications, or systems information belonging to Acumen Genesis except where disclosure is required by law or authorised by us in writing.

19. Disclaimers

To the fullest extent permitted by law, the aggregate liability of Acumen Genesis arising out of or in connection with the website, these Terms, or any services provided through the website shall not exceed the total fees actually paid to Acumen Genesis for the specific service giving rise to the claim during the six months immediately preceding the event giving rise to liability, unless a different limit is expressly stated in the relevant engagement letter.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

21. Indemnity

You agree to indemnify and hold harmless Acumen Genesis, its directors, officers, employees, contractors, and agents from and against any claim, liability, loss, damage, cost, or expense, including reasonable legal costs, arising out of or in connection with your breach of these Terms, your misuse of the website or services, your breach of law, your infringement of third-party rights, or any false, misleading, incomplete, or unlawful information or material provided by you or on your behalf.

22. Suspension and Termination
